Garbagnate Salute PPP Hospital (Milan), Lombardy, Italy Azienda Ospedaliera Salvini Garbagnate 176 January 2016

In July 2015, Equitix acquired equity and subordinated debt interests in Garbagnate Salute, a 539-bed hospital located 15km north of Milan. The Project is a PPP concession for 27 years and 10 months, including construction, and it expires in August 2038. It was procured for the Trust (Azienda Ospedaliera Salvini Garbagnate, a subsidiary of Regione Lombardia) by Infrastrutture Lombarde the regional infrastructure procurement agency and has a Gross Internal Floor Area of 56,948 m². The project reached final completion in July 2015 when clinical services were relocated from the old to the new hospital.

Castelfranco and Montebelluna Hospitals, Veneto, Italy Asolo Health Authority (Unita’ Locale Socio Sanitaria Asolo) 176 July 2015

In July 2015, Equitix acquired equity and subordinated debt interests in an operational healthcare asset in Veneto, Italy through a bilateral deal. The contract was for the design, build, finance and operation of two acute hospitals in Castelfranco and Montebelluna (10 miles apart and both 40 miles northwest of Venice).

Sant’Anna Hospital, Como, Italy Como Health Authority (Azienda Ospedaliera Sant’ Anna di Como) €158 June 2015

In June 2015, Equitix acquired equity and subordinated debt interests in Sant’Anna PPP Hospital Como, Italy. The project is operational and relates to the 651-bed Sant’Anna acute Hospital in Como. It represented Equitix’s first foray into the European market. This PFI contract was undertaken with Como Health Authority (Azienda Ospedaliera Sant’ Anna di Como), a corporate entity wholly owned by the Lombardy provincial government – a wealthy and populous area containing a sixth of Italy's inhabitants and producing close to a fifth of the country's GDP.

Edinburgh Royal Infirmary NHS Lothian Health Board 183 May 2015

In May 2015 Equitix acquired 50% of the equity and subordinated debt of the Edinburgh Royal Infirmary from Balfour Beatty Investments Limited. The Project Agreement was entered into between Consort Healthcare (Edinburgh Royal Infirmary) Limited (‘ProjectCo’/’SPV’) and the Royal Infirmary of Edinburgh NHS Trust, now NHS Lothian Health Board, (the ‘Authority’).

The project comprises an 872-bed hospital (Edinburgh Royal Infirmary) and a university medical centre as a Design-Build-Finance and Operate (‘DBFM’), including both hard and soft FM services, of the hospital, Edinburgh University medical school and the rest of the site and delivery of non-clinical services including portering, cleaning, catering and security.

Papworth Hospital PFI Papworth NHS Foundation Trust 160 March 2015

An Equitix -Skanska joint venture was selected as Preferred Bidder in January 2014 and has since reached Financial Close to develop the specialist cardio-thoracic hospital located on the Cambridge Bio-medical Campus site in Papworth, Cambridge.

The hospital will include 300 in-patient single beds, seven operating theatres and five catheretization labs across c44,000 m2

The European Investment Bank (EIB) will provide 50% of the senior debt requirement.

Skanska Construction, the building contractors, started on site in March 2015 with construction expected to take circa 32 months.

Bishop Auckland Hospital South Durham Healthcare NHS Trust 48 March 2014

In March 2014 Equitix acquired 44% equity and c. 49% subordinated debt of the Bishop Auckland Hospital PFI in Northumberland. This purpose-built local hospital in Northumberland comprises of a single local community unit that is located within the market town of Bishop Auckland, situated approximately 20km south west of Durham within County Durham. The hospital is a centre of excellence in low-risk hip and knee replacement operations and provides planned care for a population of approximately 120,000.

The project facilities have been fully operational since 2002 and has a 30 year concession ending in 2032. Facilities Management services are carried out by ISS Mediclean.

North Tyne Housing North Tyne Council 78 March 2014

The Equitix led Consortium ‘Solutions 4 North Tyneside’ were selected to develop 922 ‘Quality Homes for Older People’ (including Extra Care) across the North Tyneside area. These units are spread between 26 schemes, 10 of which will be ‘new build’ sites and 16 ‘refurbishment’ sites. As well as the design and construction of the schemes, the contract involves the management of the facilities for the 27 year duration of the project.

Lovell Respond are responsible for FM services and Miller Construction for construction of the new build infrastructure works and refurbishment works to existing properties.

Coventry LIFT Coventry & Rugby Clinical Commissioning Group (“CCG”) - formerly Coventry Primary Care Trust 30 January 2014 & April 2014

The three assets owned and operated by Arden Estate Partnerships LIFT (“AEP”) have a combined gross internal floor area of 13,344m2, and an overall construction value of £30 million. AEP achieved its first close in May 2006, with the first projects consisting of the construction of Keresley Green Medical Centre and Longford Health Centre. AEP subsequently closed the City of Coventry Health Centre , the largest of the three projects to date, in November 2011. FM services are provided by SGP (a subsidiary of Johnson Service Group).

Equitix acquired a 37.5% equity stake in the private sector shareholding of AEP as part of a bundled acquisition in January 2014 of various equity and subordinated debt interest in four LIFT projects. A further 50% equity stake was acquired from a co-investor in the project in April 2014. The respective LIFT projects are Coventry LIFT, South East Essex LIFT, South West Hampshire LIFT and Dudley LIFT, and have a combined capital value in excess of £120m. The eleven underlying healthcare assets that are currently operational across the four LIFTs provide a range of services including primary healthcare (GP surgeries), social care, adult mental health and learning disability services.

SE Essex LIFT Castle Point & Rochford CCG; Southend CCG – formerly South East Essex Primary Care Trust 45 January 2014 & April 2014

The three assets owned and operated by South East Essex LIFT Ltd (“SE Essex LIFT”) have an overall construction value of £15 million. Prydium has closed the North Rd Primary Care Centre, Valkyrie Road Primary Care Centre and Central Canvey Primary Care Centre since March 2009. FM services are provided by SGP (a subsidiary of Johnson Service Group).

Equitix acquired a 63.75% equity stake in the private sector shareholding of SE Essex LIFT as part of a bundled acquisition in January 2014 of various equity and subordinated debt interest in four LIFT projects. A further 15% equity stake was acquired from a co-investor in the project in April 2014. The respective LIFT projects are Coventry LIFT, South East Essex LIFT, South West Hampshire LIFT and Dudley LIFT, and have a combined capital value in excess of £120m. The eleven underlying healthcare assets that are currently operational across the four LIFTs provide a range of services including primary healthcare (GP surgeries), social care, adult mental health and learning disability services.

SW Hamps LIFT Southampton CCG – formerly Southampton City Primary Care Trust 50 January 2014

Two projects, the Adelaide Health Centre and the Antelope House Adult Mental Health Unit have been closed to date by South West Hampshire LIFT Ltd (“SW Hamps LIFT”) within the Southampton region of SW Hampshire. Adelaide Health Centre achieved financial close in November 2009 and has a range of facilities to meet diverse needs including 50 inpatient beds, a ten bed psychiatric intensive care unit and therapy services. Co-located within the inpatient unit is a Home Treatment service which provides support in the community, with the aim of keeping people out of hospital. Antelope House Adult Mental Health Unit achieved financial close in June 2010 and together the two facilities encompass over 10,000m2. FM services are provided by Johnson Facilities Management (a subsidiary of Johnson Service Group).

Equitix acquired a 77.5% equity stake in the private sector shareholding of SW Hamps LIFT as part of a bundled acquisition in January 2014 of various equity and subordinated debt interest in four LIFT projects. Dudley LIFT Dudley CCG - Dudley Primary Care Trust 40 January 2014

Dudley Infracare LIFT Ltd (“Dudley LIFT”) has closed 3 projects to date which have a total capital expenditure of £40 million. Ridge Hill Centre is a unique purpose-designed facility that was completed in October 2006 to provide support to carers, families and individuals with learning disabilities. The modern centre includes a 6 bed unit for intensive support for short stays; a 2 bed unit for intensive rehabilitation services for the re-integration of people who have out-of-county placements; a purpose designed Therapy and Enabling Centre and the provision of two beds for short term breaks. Stourbridge Health and Social Care Centre completed in August 2007 and replaced existing health care facilities as well as additionally accommodating the local six-partner practice GP Surgery (Three Villages Medical Practice). Brierley Hill Health & Social Care Centre completed in February 2010 and includes GP Practices; diagnostics and minor surgery services; a dental department and audiology, chiropody and leg ulcer services.

The respective LIFT projects are Coventry LIFT, South East Essex LIFT, South West Hampshire LIFT and Dudley LIFT, and have a combined capital value in excess of £120m. The eleven underlying healthcare assets that are currently operational across the four LIFTs provide a range of services including primary healthcare (GP surgeries), social care, adult mental health and learning disability services.

Ipswich Hospital Ipswich Hospital NHS Trust 27 May 2013

The scheme reached financial close in March 2006 and achieved practical completion in April 2009. The Garrett Anderson Centre is located within the grounds of the Ipswich General Hospital site and provides a multi-functional healthcare facility that includes: an Accident & Emergency Department with 19 adult treatment rooms, 4 children’s treatment rooms, a resuscitation room, 2 X-ray rooms and a 22 bed Critical Care Unit. The facility also provides a day surgery with 4 theatres including adult and paediatric bays and a 40 bed short stay ward. Hard FM services are provided by Kier Facilities Services and include mechanical, electrical, public health and building fabric maintenance and the provision of Grounds maintenance, Helpdesk Management, Utilities Management and Pest Control.

Wigan Joint Services Centre Wigan Borough Council 50 March 2013

Equitix acquired a 50% stake in the Wigan Joint Services Centre PFI Project from Community Solutions for Leisure Limited, a subsidiary of Morgan Sindall Investments Limited. The scheme reached Financial Close in June 2009 and construction completed in December 2011. The scheme is a leisure, health, learning and information complex that includes a one-stop shop for all public services. The development comprises a community of spaces grouped around a central organising hub, with an objective of revitalising the town's civic heart. The state of the art facility has retained its original 1930's terracotta north facade, preserving and upholding Wigan's rich heritage. The facilities include a 14,563m² Healthy Living Zone and 5,358m² Information and Learning Zone. The former houses a 25 metre public swimming pool with moveable floor and separate learning pool. The Information and Learning Zone includes a central library with separate children's and teenage libraries, open-plan administration offices and piazza. FM services are provided by Hochtief Facility Management UK Ltd.

Leeds LIFT NHS Leeds 74 September 2012

Equitix acquired 100% of Primaria Ltd which is the private sector share holder in Community Ventures Leeds Ltd. This Local Improvement Finance Trust is in partnership with Leeds PCT and Community Health Partnerships, which completed its first development in 2004. The project includes 11 healthcare centres across the Leeds region. The facilities provided include GP surgeries, dental clinics, occupational therapy, a credit union, a library, minor operation suites, physiotherapy and many other services. The acquisition was completed in September 2012 from Barclays European Infrastructure Fund (50%) and Miller Holdings (50%). Hard FM Services are provided by Miller FM.

ReSound LIFT (Plymouth) Plymouth Teaching PCT 21 August 2012

ReSound LIFT Company achieved its first close in October 2004, involving the construction of a new local care centre at Mount Gould and a new GP Surgery at Ernesettle. The second tranche Cattedown Surgery achieved financial close in January 2007 and a new child and adolescent mental health facility, Plym Bridge House forming tranche 3 in December 2009. The four assets owned and operated by the ReSound LIFT Company have a combined gross internal floor area of 11,500m2 and an overall construction value of £21 million.

Solent LIFT Hampshire PCT 20 August 2012

Solent LIFT Company owns five key healthcare assets in the Gosport, Havant and Fareham areas of Hampshire awarded in four tranches between February 2005 and October 2009. The first tranche involving some 3,000m2 was for the provision of the Rowner Health Centre in Gosport and the Oak Park Children’s Services Centre in Havant. In October 2007, the second tranche Brune Medical Centre was completed. This was followed by the 2,700m2 Fareham Community Centre in January 2009 and the tranche four Gosport Medical Centre in October 2009. In August 2011 a 400m2 extension to the Oak Park Children’s Services Centre commenced and was completed in December 2012.

Bury, Tameside & Glossop LIFT Company has had three separate tranches of activity, achieving its first close in June 2007 which included the construction of a new Primary Care Centre at Radcliffe and the Ashton Health Centre. The combined area of the two premises is in excess of 10,000m2. This was followed in June 2009 by the tranche two George Street Primary Care Centre in Glossop and in February 2010 the Millbrook Medical Centre, Stalybridge. The four assets owned and operated by the Bury, Tameside and Glossop LIFT Company have a total gross internal floor area of 12,000m2 and an overall construction value of £27 million.

The Doncaster LIFT Company owns nine key healthcare assets, having a construction value of £37 million and a total gross internal area of 19,300m2. The LIFT Company delivered the buildings in three tranches; the initial tranche in September 2005, involved the construction of the Vermuyden Centre in Thorne, the Springwell Centre in Denaby and the Sandringham Centre, Doncaster. In October 2007, tranche two provided four buildings, the 3,500m2 Martinwells Centre in Edlington, the Orchard Centre GP practice in Moorends, the Heathfield Centre in Hatfield and the 2,000m2 White Wings Centre in Askern. The remaining assets consist of; the Flying Scotsman, Doncaster and the Stone Castle Centre, Conisbrough being delivered under tranche three which achieved financial close in February 2010.

The five assets owned and operated by the Camden & Islington LIFT Company have a combined gross internal floor area of 8,000m2 and an overall construction value of £18 million. Camden & Islington LIFT Company achieved its first close in July 2004, the first tranche consisting of the construction of the Bingfield Primary Care Centre and the Hanley Road Health Centre. The second tranche was for the Partnership Primary Care Centre in Camden Road which achieved financial close in July 2005. The largest building within the Camden & Islington portfolio, the 3,800m2 Health Centre in Kentish Town was completed in December 2008. The final tranche which achieved financial close in May 2009 was for the new Community Health Centre in Holloway.

Barnsley LIFT Company has had three separate tranches of activity, achieving its first close in April 2004. The first tranche consisted of three health centres in Goldthorpe, Thurnscoe and Worsbrough. The second tranche followed in April 2007 with the construction of two new health centres in Cudworth and Grimethorpe. In April 2010 new centres in Darton, Hoyland, Great Houghton and the Roundhouse in Athersley formed tranche 4. The nine assets owned and operated by the Barnsley LIFT Company have a total gross internal floor area of 16,500m2 and an overall construction value of £32 million.

Cleadon Park Health & Community Centre South Tyneside and Gateshead Local Education Partnership 16 April 2012

Equitix Fund II acquired 100% of Cleadon Park Health Centre, South Shields in April 2012. The project comprises two GP practices, primary care teams, therapy services, a minor operating suite, social care accommodation, a pharmacy, a community library, multi-purpose community facilities and a ‘one-stop’ approach to housing, social and health care. It has been fully operational since 2010, with Carillion Facilities Management providing Hard FM Services.

MaST LIFT Salford City, Salford, South Manchesterm Trafford North, Central Manchester and North Manchester PCTs 73 October 2011

The MaST LIFT Company owns twelve key healthcare assets in the Salford, South Central and Trafford areas of Manchester and was awarded in five tranches between July 2004 and December 2006. The assets have a total gross internal floor area of 30,000m2 and an overall construction value of £73 million. The first tranche was for the provision of the Benchill, Douglas Green, Parlington and Wythenshawe ‘one stop shop’ primary care centres. In May 2005, the second tranche Brunswick, Openshaw and Lower Kersal Centres achieved financial close. This was followed by the 2,000m2 Cheetham Centre in December 2005 and the tranche four Health & Social Care Centres in Pendleton and Walkden in November 2006. In December 2006 agreement was reached to construct a new 3,100m2 Health & Social Care Centre at Eccles, which was completed in September 2008.

Greater Nottingham LIFT Broxtowe & Hucknall, Nottingham City, Gelding and Rushcliffe PCTs 69 October 2011

The six assets owned and operated by the Greater Nottingham LIFT Company have a combined gross internal floor area of 34,500m2 and an overall construction value of £69 million. Greater Nottingham LIFT Company achieved its first close in June 2004, the first tranche consisting of the construction of three Health Centres at Carlton, Clifton and Stapleford. The second tranche was for the Keyworth Primary Care Centre and the Mary Potter Joint Integrated Access Centre that achieved financial close in November 2005. The largest building within the Greater Nottingham portfolio, the 8,400m2 Joint Services Centre at Bulwell Riverside was completed in January 2012 and is at the hub of the community, offering a convenient single point of customer access to services including housing, a library, welfare rights, youth and play facilities and GP practices.

The North Nottinghamshire LIFT Company owns seven key healthcare assets, having a construction value of £34 million and a total gross internal area of 15,300m2. The LIFT Company delivered the buildings in one tranche which achieved financial close in December 2005 and involved the construction of four Primary Care Centres in Balderton, Bull Farm, Rainworth and Retford and Community ‘one stop shops’ were also provided at Warsop and Ashfield.

Leicester LIFT Company achieved its first close in August 2004 and involved the construction of two new local Primary Care Centres at Merridale and St Peter’s. The second tranche, Westcote’s PCC, achieved financial close in June 2005 with Humberstone Primary Care Practice in March 2006 and the Merlyn Vaz Health & Social Care Centre in September 2006. A fifth tranche for the provision of Health Centres at De Monfort University and Belgrave achieved financial close in March 2010. The seven assets owned and operated by the Leicester LIFT Company have a combined gross internal floor area of 20,200m2 and an overall construction value of £39 million.

Sandwell LIFT Company has had four separate tranches of activity, achieving its first close in January 2004 which consisted of three health centres in West Bromwich, Oldbury and Whiteheath. The second tranche followed in April 2005 with the construction of the new Yew Tree Health Centre and in November 2009 a new Health Centre at Glebefields formed tranche 3. In May 2012, the new Portway Lifestyle Centre reached financial close. This new facility will offer sport, leisure, social care and health facilities including a GP surgery and is planned for completion in August 2013. The six assets owned and operated by the Sandwell LIFT Company have a total gross internal floor area of 13,400m2 and an overall construction value of £30 million.

FM services are provided by John Laing Infrastructure Services, whilst Community Solutions undertake the Management Services contracts.

Southern Derbyshire LIFT Erewash, Central Derby, Greater Derby, Derbyshire Dales & South Derbyshire, Amber Valley, and Derbyshire County Council PCTs 56 October 2011

The six assets owned and operated by the Southern Derbyshire LIFT Company have a combined gross internal floor area of 24,800m2 and an overall construction value of £56 million. Southern Derbyshire LIFT Company achieved its first close in December 2004, the first tranche consisting of the construction of the Lighthouse Integrated Children’s Services Centre, Long Eaton Primary Care Centre and the new Eden Surgery in Long Eaton. The second tranche reached financial close in August 2005 seeing the construction of new Health Centres at Alfreton, Austin Estate and Coleman Street and a new ‘one stop shop’ at Swadlincote. In October 2008 agreement was reached to construct a new 7,000m2 community hospital at Ashbourne, with 22 in-patient beds and GP practices.

Derby Healthcare Derbyshire Mental Health Services NHS Trust 30 June 2011

Three Shires was acquired by Equitix in June 2011 and comprises of three 30-year concessions for the provision of healthcare facilities in Derby, Leicester and Lincolnshire. The Derby facility is a specialist mental health care at Kingsway Hospital and a Resource centre serving older people with mental health problems in the local community at Erwash Hospital. Three sponsor Trusts – Derbyshire Mental Health Services NHS Trust (now Derbyshire Healthcare NHS Foundation Trust, Lincolnshire Primary Care Trust (now NHS Lincolnshire) and Leicestershire Partnership Care Trust (now Leicestershire Partnership NHS Trust) worked together to procure the services of a single private sector partner for the design, construction, maintenance and financing of the community health facilities in Leicestershire, Derbyshire and Lincolnshire. The three schemes had the same design team and construction team. Following successful completion of the construction phase of the Derby assets in 2009, the project provides the on-going maintenance services which include security, estates and ground maintenance, pest control and helpdesk services which are carried out by Carillion.

Three Shires was acquired by Equitix in June 2011 and comprises of three 30-year concessions for the provision of healthcare facilities in Derby, Leicester and Lincolnshire. All facilities are fully operational with works completing in 2008 at Leicestershire and in 2009 at Derby and Lincolnshire. The schemes include a provision of new mental health facilities and accommodation as well as a new community hospital in Lincolnshire with in-patient accommodation and out-patient clinics. Hard FM, soft FM and lifecycle will continue to be carried out by Carillion.

Care Partnerships 25 Limited is an NHS Local Improvement Finance Trust (LIFT) company that owns 4 SPVs. The underlying assets (c. £45m capex) include medical centres and community hospitals which provide facilities such as paediatrics, diabetes clinics, audiology clinics, podiatry clinics, dental consulting clinics, minor injuries units, speech and language therapy, all in the Tees Valley & South Durham areas.

Bradford and Airedale LIFT Bradford City Teaching, Airedale and Bradford South and West PCTs; Community Health Partnerships 39 December 2010

Bradford and Airedale Care Partnerships Limited is an NHS Local Improvement Finance Trust (LIFT) company that owns 3 SPVs. The underlying assets (c. £40m capex) include medical centres, community hospitals, minor surgery units, onsite pharmacies, GP training units, physiotherapy facilities, child health clinics and facilities for family planning, speech and language therapy, counselling and dentistry all in the Yorkshire area. All 3 schemes are fully operational. One of the centres, Haworth Medical Practice is located within a designated conservation area NW Bradford and was built with natural stone external walling and all construction features are sensitive to the exacting requirements of the Haworth conservation area. In 2008 Haworth Medical Practice won ‘Best Health Facility 2008’ in the Bradford District Design Awards for Architecture 2008 and was shortlisted in the Royal Institute of British Architects (RIBA) White Rose Awards 2008.

Roehampton Hospital PFI Wandsworth PCT 55 November 2010

Queen Mary's Hospital, Roehampton was Equitix's first community based hospital investment. Queen Marys specialises in rapid diagnostic services, prosthetics and provides a range of mental healthcare and care of the elderly facilities to the local community. Construction was completed in 2006 and the project was acquired by Equitix in November 2010. The hospital provides outpatient rapid diagnostic and treatment facilities; a mental health community and day hospital facilities; a minor injuries treatment centre; limb fitting services; 69 mental health care beds; 50 elderly and intermediate care beds and 20 rehabilitation beds. The concession runs until 2035. FM services are provided by Sodexho. Life cycle and the managed equipment service continue to be provided by Bovis Lend Lease.

Kent Healthcare PFI Kent County Council 17 December 2009

Kent Healthcare PFI consists of two purpose-built facilities providing care and rehabilitation for the elderly. Located in Margate and Tenterden, they each provide 60 en suite bedrooms, a day care centre for those with mental health needs and a base for local outpatients. The project was acquired in December 2009. The concession with Kent CC is for 28 years; the project having being operational since 2005. The Shaw Group will deliver FM solutions to the facilities.

Shropshire Healthcare PFI Shropshire County Council 17 June 2009

Shropshire Healthcare consists of six facilities allowing the re-provision of a variety of care facilities, community facilities and offices accommodation for the care teams. The project was acquired in June 09. Shaw Group delivers Hard and Soft services to the facilities. The concession with Shropshire CC is for construction plus 28 years, and the facilities have been operational since Sept 2006.

Leeds Mental Health Leeds Partnership NHS Foundation Trust 54 February 2009

Leeds Mental Health was acquired by Equitix Fund I in February 09. On acquisition the assets were restructured and refinanced with new debt provided by National Australia Bank. The project is a contract with Leeds Partnership NHS Foundation Trust with a contract running to 2028 with option to extend for a further 25 years. The PFI consists of 9 facilities, accommodation circa 240 beds. Construction was completed in 2003. Hard and Soft Services are being provided by Interserve across the sites.

Surrey Health Surrey & Borders Partnership NHS Foundation Trust 2 December 2007

Lancaster and Surrey Health are two operational PFI contracts, purchased as a secondary market acquisition by Equitix Ltd in December 2007. The portfolio consists of three continuing care units, a resource centre and two Trusts offices in the Lancaster area as well as a residential care home providing inpatient learning facilities in Surrey. The project won a design commendation in 2000 for the sympathetic conversion of the two existing stone built barns at the Oaklands site in Lancaster. The work to refurbish and convert the buildings into modern office and support space won recognition for the design and construction teams approach and successful delivery of high quality accommodation. Hard FM Services are provided by Lorne Stewart.
